Business Understanding   

 

  • Knowledge  of Indirect Sourcing considerations in a multi-cultural environment and covering  Sourcing activities such as : Engineering Services and IT/Tech contracts.  
  • Experience and comfort working in a worldwide matrix-based organization.

 

Responsibilities

Playing a vital part in the Legal Sourcing team, you will be also closely advising the Indirect Sourcing Domain Director in the Transformation Plan deployment.

Reporting to the Sourcing Legal Director, your remit will include, but not be limited to:

 

  • Drafting, analysing and negotiating, in English, a large range of IT/Tech contracts (licensing and software maintenance/support, SaaS services, cloud computing, third-party application maintenance, custom software development, integration, consultancy and technical support, hosting, outsourcing, etc.), working closely with the business (IT, IT Purchasing, Digital);
  • Drafting and negotiating high value Engineering Services agreements such as Framework Agreements;
  • Drafting and updating standard IT contracts;
  • Supporting the drafting of internal IT and security policies;
  • Advising stakeholders on data privacy, GDPR, Intellectual property and Cybersecurity;
  • Reviewing and giving guidance on newly introduced legislation and the potential impact on Legal Sourcing ;
  • Contract Review and Negotiation: Monitor and improve process for contract development, review and negotiation; advise all levels of business partners on a broad array of Sourcing business transactions; update and develop standard documentation to protect company’s best interests on contractual commitments, balance and optimize risks and ensure company is protected legally;
  • Legal support to Sourcing managers on claim management, dispute settlement and other legal issues arising at contract execution stage;
  • Coordinate Indirect Legal Sourcing activities with Sourcing Contract Management and Legal Regions to ensure transparency, efficiency and fluidity;
  • Ensure regular reporting of quality and as part of such be able to identify risk and opportunities and escalate to management;
  • Interface with law firms;
  • Facilitate trainings and awareness sessions on Legal Sourcing topics as well as other legal topics related to sourcing contract management and compliance  

 

Technical Knowledge / Experience

As a Senior Legal Counsel:

  • you are a French and/or European qualified lawyer (Master degree) with at least 8 years of relevant working experience gained as in-house legal counsel and/or in private practice in an international setting;
  • you have proven experience in drafting, reviewing and negotiating (international) commercial contracts on the one hand and compliance (e.g. anti-bribery, anti-corruption, fraud, antitrust, export control, privacy, Enterprise Risk Management) on the other hand;
  • you have a strong business acumen, a robust yet flexible personality, good communication skills (oral and written) and are able to operate in a multi-cultural and multi-jurisdictional environment;
  • you have demonstrated experience directly advising non-legal people on complex business arrangements involving complex legal issues, in terms they can understand -international commercial transactional experience;
  • you are proficient in English (working language). Knowledge of one or more other languages (Spanish, Italian) is considered a plus.
