Senior Legal Counsel M&A

Alstom is looking for a Senior Legal Counsel with substantial and broad expertise in large cross-border M&A, strategic investments, late-stage private equity, joint ventures and other corporate transactions. Reporting to the VP M&A Legal and based in Paris (St Ouen), he/she will work cross functionally with key stakeholders on strong pipeline of acquisitions and strategic investments.

What You’ll Do

  • Actively manage domestic and cross-border M&A, divestitures, strategic investments, joint ventures and other corporate transactions from NDA to integration
  • Work closely with Alstom’s business strategy and finance teams and other legal and cross-functional teams (e.g. HR, tax, accounting, treasury, operations) through each phase of the deal process
  • Structure, draft and negotiate term sheets, letters of intent, clean team and definitive acquisition and ancillary agreements under tight deadlines
  • Lead regulatory aspects of M&A including foreign investment, merger control and antitrust analysis and processes
  • Manage legal due diligence with support of the regional legal departments and prepare risk assessment reports
  • Implement ethics and compliance rules relating to transaction partners
  • Oversee and manage our outside counsel
  • Help develop and implement standardized templates and processes for repeatable transactions, with an eye towards enhancing the efficiency of Alstom’s M&A and deal processes
  • Travel as required by the business

 

What You’ll Need

  • A minimum of 8 years of diverse M&A and corporate transaction experience at a top-tier law firm; in-house experience is a plus
  • Experience working with late-stage / high-growth private companies in a fast-paced environment is desired
  • Ability to manage and lead cross-functional teams / projects with a diverse group of stakeholders across organizational lines and multiple time zones
  • Strong business acumen, integrity and judgment, with a willingness to challenge others and take a problem-solving approach
  • Ability to work independently with minimal direct supervision.
  • Strong work ethic and ability to juggle and successfully prioritize competing and voluminous work streams simultaneously
  • High degree of organization and efficiency with excellent attention to detail
