Alstom is looking for an analytically minded M&A Director with business acumen to help us identify, evaluate and pursue opportunities for external growth through acquisitions and strategic investments.

Reporting to the Head of M&A, he/she will work cross functionally with key stakeholders and play a critical role in M&A process.

The ideal candidate will be an independent, strategic and creative thinker who is a strong team player and is willing to take on additional responsibilities.

Main tasks

With strong autonomy and leadership on the M&A deals he/she will be in charge of:


  • Supporting the Strategy team in preparation of the Early Warning Paper (EWP)
  • Preparing and organizing Go / No Go decision meeting regarding identified targets:
  • Assess strategic fit of identified target
  • Validate strategic rationale
  • Identify target acquisition risks
  • Assess deal feasibility
  • Preparing all documents related to M&A transaction process, Preliminary Acquisition Recommendation (PAR), Non Binding Offer (NBO), Final Acquisition Recommendation (FAR), Binding Offer (BO);
  • Participating to the negotiation of the contracts of the External Advisors;
  • Ensuring implementation of Joint Venture (JV), acquisition or divestment in connection with both internal stakeholders (Region, Operations, Platforms, Functions, Executive sponsors etc.) and external stakeholders (Financial advisors, Lawyers, Technical experts, Partners, Sellers, etc.) through the following main steps:
    • Negotiations during the whole process
    • Due diligences
    • Business plan and valuation model preparation
    • Anti-trust clearance if applicable
    • Signing & Closing
    • Post-closing adjustments
    • Post transaction integration
  • Ensuring reporting on progress of acquisition/JV/Divestment portfolio.
  • Degree in business administration, finance or economics from top business schools or engineering schools
  • 8+ years of experience in corporate M&A
  • Demonstrable buy-side deal execution competences
  • Strong analytical skills, project management skills, high motivation, commitment and ability to act independently
  • Fluency in English
