The Legal Counsel provides legal support to US-based product lines in a broad range of legal issues linked to the Americas Region’s business activities with a particular focus on public and commercial contracts of particular complexity such as train signaling, train systems turnkey or public private partnership projects.

The successful candidate will support the Head of the US Legal Department in the performance of the following main tasks linked to the business activities of the Americas Region:

 

-    Supporting the preparation and negotiation of bids and contracts with a focus on large railway infrastructure and signaling projects. In this context, involvement in all types of agreements forming part of the nexus of contracts for such projects (EPC contracts; concession agreements; supply agreements; consortium agreements; maintenance & services agreements; financing agreements; etc.)

-    Providing legal support to projects under execution, including sourcing and supply chain issues.

-    Researching legal issues and providing written analysis to US and Regional management on matters of particular sensitivity in the railway industry.

-    Providing legal support on claims and other contentious matters including settlement drafting and negotiation or in-house supervision of litigation & arbitration.

-    Coordinating and managing external legal counsel and consultants during dispute resolution

-    Promoting and enforcing the application of the relevant company legal directives and instructions in the Americas Region.

-    Supporting the legal reporting requirements of the US and maintaining compliance with legal key performance indicators.

-    Providing corporate governance support for US-based legal entities, including acting as legal secretary, drafting powers of attorney, supporting board meetings and drafting resolutions.

-    Providing legal training and awareness to employees in the US.

-    Providing legal support on ethics & compliance matters, including the maintenance of Region compliance with federal and state regulations regarding anti-competition, bribery, export/import and other operationally relevant laws and regulations.

 

The position is part of the US Legal & Contract Management department currently composed of approximately 50 lawyers and contract managers based in various locations in the US .

 

Education:

Juris Doctor (JD) from an accredited United States law school with admission to the bar of at least one state. 

 

Experience:

Five to ten years of experience working as in-house counsel or in a law firm.

Previous experience with and knowledge of the US railway industry, including its regulatory framework, is a plus for this position.
